Terms of Service
Version 2026-11-02. These terms are for the businesses that subscribe to Sepify. People who use Sepify at work (staff and managers) are covered by the Terms of Use.
If your business is in the United States: section 15 says disputes are settled by individual arbitration, not in court, and that neither of us can bring a class action. You can opt out within 30 days.
1. The service
Sepify provides software for businesses: a tablet time clock, timesheets, manager tools and payroll export (the "Service"). These terms are between Sepify Inc., an Ontario corporation ("Sepify", "we"), and the business that signs up ("you"). The person who signs up confirms they have the authority to accept them for that business.
The Service is available only in the provinces, states and countries shown as supported in your dashboard. You may not use it anywhere else. Some features, such as face check, may be available in fewer places than the time clock itself.
2. Price, billing and money-back guarantee
- The Team plan is $39 CAD per location per month, or $390 CAD per location per year, plus applicable taxes. There are no setup fees or other mandatory charges. Your price is based on the number of locations using the Service, and changes when you add or remove a location.
- You pay when you subscribe. Your plan renews automatically every month or year until you cancel, and we'll remind you before a yearly plan renews.
- 30-day money-back guarantee: if you cancel within 30 days of your first payment, we refund everything you've paid for your subscription, in full, and your access ends when you cancel.
- The guarantee applies once per business, to its first subscription only. It doesn't apply if the business, its owner, or the payment card, email address, phone number or business address used has already received a guarantee refund, including under a different account. In that case you can still cancel; your plan simply runs to the end of the period you've paid for. We may also refuse the guarantee where we reasonably believe it is being misused.
- The guarantee covers subscription fees only, not tablets or wall mounts (see section 3).
- After 30 days you can still cancel online at any time from your dashboard; your plan won't renew and you keep access until the end of the period you've paid for. Except for the guarantee, payments for a period that has started aren't refunded.
- Price changes: we may change our prices by emailing you at least 30 days before the change. A new price applies from your next renewal after that notice. If you don't agree, you can cancel before then.
- If you think we charged you incorrectly, tell us within 60 days of the charge and we'll look into it in good faith. Please contact us before disputing a charge with your bank.
- Payments are processed by Stripe. We never see or store your full card number.
3. Tablets and wall mounts
- You can use your own tablet: a recent Android tablet or iPad with a front camera, Wi-Fi and a power supply. You're responsible for it, its internet connection and keeping it charged and working.
- You can also ask us for a ready-to-go tablet ($179 CAD each) and an optional wall mount ($69 CAD each), one-time prices plus applicable taxes and shipping if any. A request is not an order: we contact you to confirm the total and delivery, and nothing is charged until you agree. These are not part of your subscription payment and have no monthly fee.
- Once delivered, the tablet and wall mount are yours. They come with the manufacturer's warranty only; we don't give any other warranty for them.
- Returns: if you cancel your subscription within 30 days of your first payment, you may return the tablet within that time, unused or in like-new condition with everything that came with it, for a refund of the tablet price minus shipping costs. Otherwise, sales are final. Wall mounts that have been installed can't be returned.
- Risk of loss passes to you when the tablet is delivered to the address you gave us.
4. Your data
Your business's data (employees, punches, timesheets, payroll exports) belongs to you. We process it only to provide the Service, as described in our Privacy Policy, and we don't sell it. You give us permission to store and process it for that purpose, including through the service providers listed in the Privacy Policy.
Payroll details your employees enter (SIN, direct deposit account, date of birth, home address and TD1 claim) are yours as the employer; Sepify is your service provider for them. We store them encrypted (in the United States, as the Privacy Policy explains), use them only to provide the Service to you, never use them for any other purpose (including AI training or advertising), and don't let anyone at Sepify view them except when needed to keep the Service running or when the law requires. If a breach of our safeguards affects them, we'll tell you as soon as feasible and help you with the notices the law requires. We'll help you answer an employee's request to see or correct their details.
When you cancel, export your data first: employment and tax laws may require you to keep time and pay records for years, and keeping them is your responsibility. We'll email you a reminder before anything is deleted. We keep it for 90 days after your subscription ends, so it's all still there if you come back, and then delete it, as the Privacy Policy explains. Only your business's data is deleted. We never delete data because a payment is late without warning you first.
5. Your responsibilities as the employer
- You decide whether and how to use the Service with your staff. You are responsible for following every employment, privacy, biometric, human rights, tax and record-keeping law that applies to your business in each province, state or country where you use it.
- Before using the time clock in a province or state, you confirm that region's rules in your dashboard. Those confirmations are part of these terms, and we keep a record of them.
- You promise that, before your staff use the Service, you have given every notice, got every consent and adopted every written policy that the law requires (for example Ontario's electronic monitoring policy, or written consent and a retention policy where a state's biometric law requires them), and that you have the right to give us the information you enter.
- You are responsible for the people you give access to (managers and staff), for the information they enter, and for what they do in your account.
- If you use payroll details, you collect a SIN only for payroll and tax reporting, send each setup link only to the employee it is for, keep owner sign-ins private (never share a password), and check with the employee in person before paying into a direct deposit account they say they didn't set. Keeping the payroll records the Canada Revenue Agency requires is your responsibility.
- Timesheets, hours and payroll exports are tools to help you. You are responsible for checking them and for paying your staff correctly and on time. Sepify does not make decisions about anyone's pay, hours or employment.
6. No legal, tax or employment advice
Information in the Service, including the rules shown for each region, is general information and may not be complete or up to date for your situation. It is not legal, tax or employment advice. Get your own professional advice when you need it.
7. Acceptable use
You, your managers and your staff must not:
- use the Service to break the law or anyone's rights, including privacy rights;
- access, or try to access, another business's data or any part of the Service you aren't allowed to use;
- punch in or out for someone else, or try to fool the face check or PIN check;
- copy, change, reverse engineer, decompile or take apart the Service, except where the law allows it despite this term;
- resell, rent, share or sublicense the Service, or let anyone outside your business use it;
- use the Service, or what you learn from it, to build a competing product;
- scrape it, overload it, or test it for security weaknesses without our written permission;
- upload viruses or other harmful code.
Keep your passwords, PINs and tablet pairing codes private, and tell us right away if you think your account was misused.
8. Our software
Sepify Inc. owns the Service, its software, design and the Sepify name and logo, and any improvements to them. While your subscription is active, we give you a limited, non-exclusive, non-transferable right to use the Service for your own business under these terms. We keep every right we don't expressly give you. If you send us ideas or feedback, we may use them freely without paying you.
9. Suspension and ending these terms
- Failed payments: if a renewal payment fails, we retry it and warn you. After 7 days, your dashboard is locked except Billing until you pay. Your time clock keeps recording punches during this time so nobody loses hours. If the payment still can't be collected, your subscription is cancelled and access ends; your data is then handled as described in section 4.
- We may suspend all or part of your access, with as much notice as is reasonable, if it is needed to stop a security threat or harm to the Service or others, if the law requires it, or if we reasonably believe you have seriously broken these terms. Wherever we can, we'll avoid stopping punching in the middle of a shift.
- Either of us may end these terms if the other seriously breaks them and doesn't fix the problem within 15 days of being told. We may end them at once for a serious breach of section 7. You can always end them by cancelling.
- When these terms end, your right to use the Service ends. Sections 2 (amounts already owed), 4, 6, 8 and 10 to 16 continue to apply.
10. Availability and changes to the Service
We work to keep the Service available and your data safe, but no service is free of interruptions, and we may pause it for maintenance. We may improve or change features; if a change materially reduces what you pay for, we'll tell you in advance.
11. Changes to these terms
We may update these terms. For a change that matters to you, we'll email the account owner at least 30 days before it takes effect, except where a change is required by law or is needed sooner for security, in which case we'll give as much notice as we can. If you keep using the Service after the change takes effect, you accept it. If you don't agree, you can cancel before then. Changes to section 15 work as that section describes.
12. Disclaimer
To the extent the law allows, the Service is provided "as is" and "as available". We don't promise that it will be uninterrupted or error-free, or that it fits a particular purpose, and we disclaim all implied warranties and conditions, including merchantability, fitness for a particular purpose and non-infringement. Keep your own copies of records you're required to keep; you can export them at any time.
13. Limitation of liability
To the extent the law allows, Sepify is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, wage or overtime claims, fines or penalties, however they arise. Sepify's total liability for all claims related to the Service is limited to the amount you paid Sepify in the 12 months before the claim arose. These limits apply even if a remedy fails of its essential purpose, and are an essential part of our agreement.
14. Your indemnity
You will defend and compensate Sepify Inc., its directors and employees for claims, losses and costs (including reasonable legal fees) brought by your staff, a government body or anyone else that arise from your use of the Service, the information you enter, your employment decisions, any notice or consent you were required to give or get, or your breach of the law or these terms. You won't settle such a claim in a way that admits fault for Sepify without our written consent.
15. Governing law and disputes
Before starting any formal dispute, contact us at the address below and give us 30 days to try to resolve it.
15.1 Businesses outside the United States
These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. The courts of Ontario have exclusive jurisdiction over any dispute.
15.2 Businesses in the United States: arbitration
- If your business is based in the United States, these terms are governed by the Federal Arbitration Act and, otherwise, the laws of the State of New York, without regard to conflict-of-law rules.
- Any dispute between you and Sepify about these terms or the Service, including whether this section applies, will be settled by binding individual arbitration, administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator. The hearing will be held by video unless the arbitrator decides otherwise, or in New York County, New York. Judgment on the award may be entered in any court with jurisdiction.
- No class actions and no jury: you and Sepify may bring claims against each other only individually, not as a plaintiff or class member in any class, collective or representative proceeding, and each of us gives up the right to a jury trial. The arbitrator may not combine more than one business's claims.
- Either of us may still bring an individual claim in small-claims court, or ask a court for an urgent order to protect intellectual property, confidential information or unpaid fees.
- Opting out: you can opt out of this arbitration section by emailing us within 30 days of first accepting these terms, with your business's legal name, the email on your account, and a statement that you opt out of arbitration. Disputes then go to the state or federal courts in New York County, New York, which you and Sepify both accept.
- If the ban on class proceedings is found unenforceable for a claim, that claim goes to those New York courts instead of arbitration, and the rest of this section still applies to other claims. If we make a material change to this section, you can reject it by emailing us within 30 days, and the earlier version keeps applying to you.
16. General
- Whole agreement: these terms, the Privacy Policy and your region confirmations are the whole agreement between us about the Service and replace anything said or written before.
- Notices: we send notices to the account owner's email; you send them to the address below. Notices by email count as written notice.
- Transfer: you may not transfer these terms without our written consent. We may transfer them to a company that takes over our business or the Service, and we'll tell you if we do.
- Events outside our control: neither of us is responsible for delays or failures caused by events beyond reasonable control, such as internet or hosting outages, power failures, natural disasters or government action (this doesn't excuse paying for the Service).
- If part is invalid: if a court or arbitrator finds part of these terms unenforceable, that part is limited as little as possible and the rest stays in force.
- No waiver: not enforcing a term right away doesn't mean we give up the right to enforce it later.
- Independent parties: we are independent businesses. Sepify is not your staff's employer and is not your agent or partner.
